With the following announcement in the electronic Federal Official Gazette, the Board of Management has today initiated the necessary formalities for organising the future composition of the Supervisory Board in accordance with the One-Third Employee Representation Act. The election of the four future members of the Supervisory Board who are to be elected by the shareholders is envisaged to take place at the next Ordinary Shareholders' Meeting in May 2008.
The Board of Management of technotrans AG, entered on the Commercial Register of the Local Court of Münster under HRB 9086, hereby announces that it believes the composition of the company's Supervisory Board no longer complies with the applicable legal requirements.
Pursuant to Sections 96 Para. 1 and 101 Para. 1 of German Stock Corporation Law in conjunction with Section 1 Para. 1 No. 1 second sentence of German One-third Employee Representation Act, the Supervisory Board did not include any employees' representatives as our company was entered on the Commercial Register as a stock corporation after August 10, 1994 and had fewer than 500 employees.
technotrans AG now has more than 500 but fewer than 2,000 employees. In the opinion of the Board of Management, the provisions of Sections 96 Para. 1 and 101 Para. 1 of German Stock Corporation Law in conjunction with Sections 1 Para. 1 No. 1 first sentence and 4, Para. 1 of German One-third Employee Representation Act therefore now apply to its composition.
